Methodology Internal self-evaluation of the board of directors and self-evaluation of directors
Content (1) The overall board performance evaluation includes: participation in company operations, enhancement of board decision-making quality, board composition and structure, director selection and continuous education, internal controls, etc.
(2) Individual director performance evaluations include: understanding of company goals and missions, awareness of director responsibilities, participation in company operations, internal relationship management and communication, professional expertise and continuous education of directors, internal controls, etc.
(3) The performance evaluation of each functional committee includes: participation in company operations, understanding of committee responsibilities, enhancement of committee decision-making quality, committee composition and member selection.
Result The self-assessment performance evaluation results of the Board of Directors (including functional committees) for the year 2023 were submitted to the Board of Directors on March 8, 2024. The evaluation results are as follows:
(1) Board of Directors Operation Performance Self-Assessment: The evaluation criteria include five major aspects, totaling 45 indicators. The evaluation score is 96 points, indicating that the Board of Directors has effectively guided and supervised the company's strategies, major operations, and risk management responsibilities. The board has also established appropriate internal control systems, demonstrating overall excellent performance in line with corporate governance requirements.
(2) Individual Director Performance Self-Assessment: The evaluation criteria include six major aspects, totaling 23 indicators. The evaluation score is 98 points, indicating that directors have positively evaluated the efficiency and effectiveness of the board's operations.
(3) Audit Committee Operation Performance Self-Assessment: The evaluation criteria include five major aspects, totaling 22 indicators. The evaluation score is 100 points, indicating that the Audit Committee's overall operations are excellent, meeting corporate governance requirements, and effectively enhancing the functions of the Board of Directors.
(4) Remuneration Committee Operation Performance Self-Assessment: The evaluation criteria include four major aspects, totaling 19 indicators. The evaluation score is 99 points, indicating that the Remuneration Committee's overall operations are excellent, meeting corporate governance requirements, and effectively enhancing the functions of the Board of Directors.
