Corporate Governance Officer
Corporate Governance Policy:
In addition to complying with the Company Act, the Securities and Exchange Act, and other relevant laws and regulations of the Republic of China, the Company has established the “Corporate Governance Principles,” “Ethical Corporate Management Best Practice Principles,” and “Sustainable Development Best Practice Principles” as guidelines for building an effective corporate governance framework. These measures are intended to protect shareholders’ rights, strengthen the functions of the Board of Directors, enhance the effectiveness of the Audit and Risk Management Committee, respect the rights and interests of stakeholders, and improve information transparency.
Pursuant to a resolution of the Board of Directors on June 25, 2019, the Company appointed Ms. Su, Yu-Hui, the current Finance Manager, as the Corporate Governance Officer. Ms. Su meets the qualifications stipulated in the Corporate Governance Best Practice Principles for TWSE/TPEx Listed Companies and the Regulations Governing the Exercise of Powers by Boards of Directors of TWSE Listed Companies, having more than three years of managerial experience in the financial department of a public company.
The primary responsibilities of the Corporate Governance Officer include handling matters related to Board and Shareholders’ Meetings in accordance with applicable laws, preparing meeting minutes, assisting directors with onboarding and continuing education, providing necessary information for directors to perform their duties, assisting directors with legal compliance, and executing other responsibilities as stipulated in the Company’s Articles of Incorporation or relevant agreements.relevant contracts.

Execution of Corporate Governance Duties:
In 2024, the Corporate Governance Officer assisted the Chairman of the Board and the chairs of various committees in convening five Board meetings, one extraordinary Board meeting, five Audit and Risk Committee meetings, four Compensation Committee meetings, and the 2024 Annual General Shareholders’ Meeting.
In addition, the officer continuously provided directors with information on continuing education and materials necessary for the execution of their duties. The officer also compiled and reported regulatory compliance matters as needed and responded promptly to directors’ requests, ensuring smooth and compliant corporate governance operations.
In 2024, our company was ranked 21~35% in the Taiwan Stock Exchange's "2023 Annual Corporate Governance Assessment".
Note: Each year, the Taiwan Stock Exchange (TWSE) and the Taipei Exchange (TPEx) jointly release evaluation results of corporate governance and board performance for publicly listed companies based on assessments conducted independently by the Securities and Futures Institute.
